Terms of Service
Last updated:
1. Introduction
These Terms of Use (the "Terms") govern access to and use of the Hygentra products, websites, applications, dashboards, interfaces, APIs and related features (together, the "Services"). The Services are made available by Boxwind SRL, a company incorporated in Costa Rica (Co. No. 3-102-887839) with its registered office at San Jose-San Jose Mata Redonda, Sabana Norte, CLS Business Center, Noveno Piso, Bufete Aria, San Jose, Costa Rica ("Boxwind", "Hygentra", "we", "us" or "our").
By accessing or using the Services, or by creating an account, connecting a wallet, or continuing to browse where these Terms are presented, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
2. Nature of the Services
Hygentra and its sub-products, including TraderDNA, Copilot and Agentic Trading, are technology, analytics, software and information tools made available through our Services.
Unless we expressly state otherwise in writing, we do not act as your broker, dealer, investment adviser, asset manager, fiduciary, exchange, custodian or trustee, and we do not provide personalised investment advice or a personal recommendation. You remain solely responsible for deciding whether to place, modify, copy, continue or exit any trade, strategy or allocation.
Any scores, signals, rankings, archetypes, market observations, trade reviews, explanations, alerts, prompts, charts, summaries, or other output generated by the Services are provided for informational purposes only and may be incomplete, delayed, inaccurate, unavailable, or unsuitable for your circumstances.
3. Eligibility and restricted territories
You may use the Services only if you are legally able to form a binding contract, are at least 18 years old (or the age of majority in your jurisdiction, if higher), and are not prohibited from using the Services under any applicable law, sanctions regime, embargo, or local restriction.
The availability of the Services depends on your country of residence, location, nationality, incorporation, and other eligibility factors. Our Services may not be available in certain countries or to certain persons. Regional restrictions may be shown in our website footer, sign-up flow, help centre, or in-product notices, and may change from time to time.
Availability of the Services depends on your location and eligibility. The Services may not be available in certain countries or regions, including specific sub-national jurisdictions subject to legal or regulatory restrictions.
You must not access or use the Services from a location where they are unavailable, restricted, or prohibited, and you must not attempt to bypass any technical, contractual, geolocation, sanctions-screening, or eligibility controls. We may deny, suspend, limit, or terminate access where we reasonably believe a restriction applies.
4. Account registration and security
Some parts of the Services may be viewable without an account. Other parts require account registration, wallet connection, or the linking of supported third-party services. You must provide accurate and current information and keep it updated.
You are responsible for maintaining the confidentiality and security of your credentials, devices, wallets, browser extensions, signatures, and connected accounts. We are not responsible for losses resulting from compromised credentials, wallet misuse, device compromise, signature error, phishing, malware, or user mistake except where liability cannot lawfully be excluded.
You are responsible for all activity carried out through your account or connected wallets unless caused by our fraud, wilful misconduct, or gross negligence.
5. TraderDNA and public-account analysis
TraderDNA may analyse public, on-chain, or otherwise publicly accessible trading activity, including activity associated with accounts that are not registered users. TraderScore, archetypes, percentile positions, behavioural labels and similar outputs are directional, model-generated assessments under ongoing validation rather than statements of fact about any person.
Scores and classifications may change over time as new data becomes available, as models are improved, or as we change methodologies, thresholds, cohorts, benchmarks, labels or displays. We do not guarantee any particular score, placement, archetype, or predictive value.
You must not treat any TraderDNA output as a statement of character, honesty, competence, suitability, or future performance.
6. Copilot outputs
Copilot may present market observations, opportunity summaries, trade reviews, scenario analysis, risk prompts, debriefs, and journal-style explanations. Copilot outputs are intended to support your own review and are not instructions to buy, sell, hold, close, or refrain from taking action.
Copilot output may refer to your trading history, concentration, leverage, position size, timing, or market context. Even where an output is tailored using available account or portfolio data, it remains informational decision support rather than personalised investment advice or a recommendation.
Nothing in the Services is intended to create an advisory, fiduciary, discretionary portfolio-management, or custodial relationship between you and us. You must independently assess every trading decision and obtain your own professional advice where appropriate.
7. Agentic Trading and delegated permissions
Where Agentic Trading is made available, you may choose to authorise a supported agent to place or manage orders within the permissions, expiry period, budget, margin, leverage, drawdown, market access, and other controls that you select in the product or agree in a separate delegation flow.
Unless we expressly state otherwise, your funds remain in your own supported account or wallet. Using Agentic Trading does not by itself make us a custodian of your assets.
You are responsible for deciding whether to activate an agent, which agent to use, what parameters to set, and whether to pause, stop or revoke permissions. Revoking permissions may not automatically cancel or unwind orders already submitted or resting with a venue, chain, or third-party service.
Historical, simulated, recent, or "verified" performance is descriptive only and does not guarantee future results. Agents may drift, degrade, fail, pause, or behave differently in future market conditions. We may pause, retire, restrict or replace an agent or feature for safety, legal, operational, venue or product reasons.
8. Fees and charges
Some Services are free and some are paid. Fees, pricing, billing cycles, and any execution-related charges will be described on the relevant page of our website, application, pricing screen, checkout flow, or in-product disclosure and may be updated from time to time.
Fees may include subscription fees, plan fees, allocation or service fees, execution-related fees, builder-code or routing fees, gas fees, network fees, bridge fees, wallet fees, and other third-party charges. Unless stated otherwise, fees are non-refundable once the relevant service period has started or the relevant action has been taken, except where required by law.
You are responsible for any taxes, duties, or similar governmental charges associated with your use of the Services, other than taxes based on our net income.
9. Third-party services and integrations
The Services may interoperate with third-party venues, exchanges, chains, validators, bridges, wallets, analytics providers, cloud providers, or data sources. Your use of third-party services may be subject to their own terms, disclosures, charges, and technical risks.
We do not control and are not responsible for third-party services or infrastructure, including their availability, security, execution quality, outages, pricing, settlement, liquidation mechanics, smart-contract functionality, chain performance, bridge delays, or other acts or omissions.
10. Risk disclosure
Trading crypto assets, perpetuals, derivatives, leveraged instruments, algorithmic strategies and on-chain products is highly risky. Markets can move rapidly, liquidity may disappear, trades may not execute as expected, positions can be liquidated, and you may lose all of your capital and any related fees or costs.
Additional risks include latency, outages, model error, stale or incomplete data, smart-contract vulnerabilities, bridge failures, counterparty issues, chain congestion, MEV, slippage, sanctions risk, legal or regulatory changes, and integration failures. You should use the Services only if you understand and can bear these risks.
11. Acceptable use
You must use the Services only in compliance with applicable law, regulation, sanctions rules, and exchange or market-conduct requirements.
You must not:
— (a) use the Services in breach of any law, regulation, sanctions regime, embargo, or applicable market or exchange rules;
— (b) engage in market manipulation, deceptive conduct, wash trading, spoofing, layering, abusive order placement, fraud, or any misleading or unlawful trading or market activity;
— (c) attempt to bypass or circumvent any access controls, rate limits, geofencing, regional restrictions, sanctions screening measures, or account eligibility checks;
— (d) misuse the Services in a manner that is abusive, disruptive, or harmful to the integrity, availability, or security of the Services or to other users;
— (e) introduce malware, viruses, harmful code, or otherwise interfere with or compromise the operation, performance, or security of the Services, including by probing vulnerabilities or overloading systems;
— (f) scrape, harvest, reverse engineer, decompile, or systematically extract data, content, or output from the Services, except where permitted by applicable law or our prior written consent;
— (g) misuse APIs, automated access, or integrations in a manner not expressly permitted by us;
— (h) impersonate any person or entity, misrepresent your identity, affiliation, or authority, or otherwise engage in deceptive or misleading conduct;
— (i) use the Services in a way that infringes or violates any intellectual property, privacy, publicity, or other third-party rights; or
— (j) use the Services in any manner that we reasonably consider to be improper, abusive, or contrary to the intended use of the Services.
We may investigate any suspected breach of this section and may suspend, restrict, or terminate your access to the Services, and/or take any other action we reasonably consider necessary to protect the Services, other users, third parties, or to comply with applicable law or regulatory requirements.
12. Intellectual Property
We and our licensors own all rights, title and interest in the Services, including software, interfaces, models, output presentation, content, branding, and documentation, except for rights that cannot be excluded by law.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal personal or business use as permitted by the product.
You may not copy, sell, sublicense, or create derivative works from the Services except where permitted by law or with our written consent.
13. Privacy and cookies
Our Privacy Policy and Cookie Policy explain how we collect, use, share, store, and otherwise process personal data, public-account data, and cookie or similar-technology data in connection with the Services. By using the Services, you acknowledge those policies.
14. Suspension, modification, and termination
We may modify, suspend, discontinue, or limit any part of the Services at any time. Where reasonably practicable, we will aim to provide notice of material adverse changes affecting paid features.
You may stop using the Services at any time. We may suspend or terminate your access immediately where reasonably necessary for legal, sanctions, security, fraud, misuse, technical, or operational reasons.
15. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available". We disclaim all implied warranties, representations and conditions, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted availability, or that any output will be profitable, complete, suitable, or error-free.
We do not promise that any score, signal, explanation, or agent will improve outcomes, prevent losses, meet any benchmark, or operate without interruption.
16. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, or wilful misconduct.
Subject to the previous sentence, we are not liable for any indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profits, revenue, business opportunity, goodwill, data, or digital assets arising from or relating to the Services, even if advised of the possibility of such loss.
Subject to the first sentence of this section, our aggregate liability arising out of or relating to the Services or these Terms will not exceed the total amount paid by you to us for the relevant Service during the 12 months immediately preceding the event giving rise to the claim.
17. Indemnity
You will reimburse us for losses, costs, damages, and reasonable external legal fees arising from your breach of these Terms, misuse of the Services, violation of law or sanctions, or infringement of third-party rights.
18. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will provide notice by posting the updated Terms on our website or application, notifying you in-product, by email, or by another reasonable method.
The updated Terms will take effect on the date stated in the updated version, unless applicable law requires a different notice period.
By continuing to access or use the Services after the updated Terms take effect, you agree to be bound by the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
19. Governing law and disputes
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of Costa Rica, excluding conflict-of-laws rules.
The courts of San Jose, Costa Rica will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, subject to any mandatory rights that cannot lawfully be waived.
